  • Acquisition and Purchase
    We assist in negotiating and documenting term sheets, letters of intent, purchase and sales agreements, due diligence, escrows, title and conveyance, environmental issues, and closings.

    We will document and advise regarding broker arrangements, sales contracts, and ancillary agreements and transactions.

  • Exchanges
    We have extensive knowledge with respect to all aspects of like kind exchanges, delayed exchanges, reverse exchanges, use of partnerships and limited liability companies, qualified intermediaries, tenancies in common ("TICs"), disregarded entities, construction exchanges, dealer property issues, boot and reporting and compliance issues.

    We have advised public and private REITs with respect to the special tax requirements associated with REIT operations, REIT income, REIT assets, REIT distribution requirements, REIT leasing issues, prohibited transactions, REIT subsidiaries, UPREITs, DownREITs, joint ventures, restricted stock, employee incentive compensation, Section 409A issues, and state and local REIT issues.
